The proposed ZGD-1M amendment, currently under parliamentary review, introduces new sustainability reporting obligations and revises criteria for determining the company size.
These changes affect all companies, with the criteria for small companies impacting annual reports the most. Medium-sized companies face broader requirements, including additional statements, disclosures, explanations, and a mandatory audit of annual financial statements.
Company Size Thresholds
A company is categorized based on whether it meets or exceeds 2 out of the following 3 criteria:

| Small | Assets: €4,000,000; Revenue: €8,000,000; 50 employees | Assets: €5,000,000; Revenue: €10,000,000; unchanged |
| Medium | Assets: €20,000,000; Revenue: €40,000,000; 250 employees | Assets: €25,000,000; Revenue: €50,000,000; unchanged |
The new criteria will apply to the fiscal year beginning in 2024.
